GAGNE Managing Director Function and specialization Susan is a Managing Director in the HR Transaction Services group specializing in integration and HR diligence issues arising in corporate transactions Education, licenses and certifications § BA, Mathematics and Economics, Wheaton College § Certified Employee Benefits Specialist (CEBS) Background Susan is a managing director in the Human Resources Transaction Service practice (HRTS) in the Boston office. Susan assists clients develop and implement integration and separation strategies for benefits, payroll and executive compensation for buy side and sell side transactions. Susan also provides due diligence assistance for acquisitions and divestitures. Susan has over 20 years in mergers and acquisition experience as VP HR and Integrations for a global life sciences company where she also held the position of VP Global Benefits. Susan also worked for two HR consulting companies and consulted in the design and funding of health and welfare, retirement and compensation plans. In her corporate responsibility, Susan led the HR diligence and integration or separation planning for over 200 transactions and has the ability to provide clients the unique perspective by having experienced deals from the corporate perspective. She also was responsible for managing the global employee benefits programs and successfully created and led strategies necessary to adjust the programs as the company grew from 6, 000 to 50, 000 employees globally. Susan is also a Certified Employee Benefits Specialist (CEBS). Professional and industry experience Susan has experience with all types of transactions including acquisitions and divestitures. She planned and managed the execution of integration plans for multiple transactions and has successfully led the separation of employee benefits, payroll and HR systems both from the buy-side and sell-side. Susan has detailed experience with Transition Service Agreements, both drafting and negotiating the optimal design. She has worked with both strategic and private equity buyers and sellers and understands the unique considerations needed for successful separations. Key relevant experience includes: • Led the separation of a 1, 100 business with employees in 12 countries. Worked with buyer to set up systems and processes needed to minimize the need for transition service agreements. • Integrated a carve out from a UK parent of an 800 employee business in 7 countries in accordance with TSA provided by the seller, requiring legal entity creation, employment agreement transition and transition of payroll and benefits in each country. • Successful integration of US benefits during merger of acquisition of 6, 000 employees while realizing synergies of $8 m. 1
