Introduction and Background Ø Ngāti Maru - one of 13 iwi/hapū with historical Treaty claims in Tāmaki Makaurau and member of Ngā Mana Whenua o Tāmaki Makaurau Ø The Tāmaki collective redress will be available to Ngāti Maru if the collective deed and PSGEs are supported Ø Before Treaty settlement redress can be transferred to Ngāti Maru, a Crown approved legal structure must be in place Page 6
Introduction and Background Ø Four hui were held with Ngāti Maru to develop PSGE proposal (May – July 2012) Ø Strong emphasis on continuity with existing Ngāti Maru Rūnanga Ø Present Rūnanga cannot be the Treaty settlement PSGE (Crown requirement) Page 7

PSGE - Key Crown Requirements Ø Adequately represents and is fully accountable to all members Ø Transparent decision making Ø Ensures the “beneficiaries” of the settlement and the “beneficiaries” of the governance entity are identical Ø The proposed Ngāti Maru Trust PSGE meets the Crown requirements Page 9
Structure Ø A private trust - Ngāti Maru Rūnanga Trust Ø Commonly used Treaty settlement legal entity Ø Enables the setting up of subsidiary legal entities to manage commercial and cultural redress Page 10
Purpose Ø Receive, manage, administer Treaty settlement redress for all of Ngāti Maru Ø Represent Ngāti Maru (as the present Rūnanga has) Page 11
Accountability & Transparency Ø Ø Ø Trustees accountable to Ngāti Maru Annual plan 5 year strategic plan AGMs Regular elections via postal ballot Page 12
Fisheries & Aquaculture Settlement Ø PSGE enables Ngāti Maru to receive commercial fisheries and aquaculture settlement assets Ø Option to have remain where is (Pare Hauraki Fishing Trust) with shareholding confirmed or withdraw assets Page 13
Trustees Ø 7 -10 trustees Ø Responsible for governance of Trust Ø Must act for benefit of all Ngāti Maru Ø Current Ngāti Maru Rūnanga representatives are initial trustees for proposed PSGE (unless do not wish to continue) Page 14
Initial Trustees Ø Hold office for 1 -3 years via stepped retirements / elections Ø All trustee positions will be elected positions three years following settlement Page 15
Trustee Nominations Registered adult members (18 years and older) can nominate Notice given to members of nominations Any registered adult member is eligible for nomination save for defined exceptions (whakapapa) Three registered adult members and a Ngāti Maru hapu need to endorse nomination Nominee must give written consent and 21 day period to receive nominations Page 16
Election of Trustees Ø Registered adult members of Ngāti Maru can elect trustees Ø 3 year term and trustees eligible for re-election Ø 28 days notice of election of trustees Page 17
Ngāti Maru PSGE Resolution “I as a member of Ngāti Maru, agree that the Ngāti Maru Rūnanga Trust will be the post settlement governance entity and the recipient of Ngāti Maru Treaty Settlement redress” Page 18

Ratification and Voting Ø If sufficient support for Ngāti Maru PSGE, Ngāti Maru will then be able to move to receive redress from the Tāmaki collective settlement, and other upcoming settlements Page 21
Ratification and Voting - Next Steps Ø Ongoing Ngāti Maru and Marutūāhu specific redress negotiations continue: v Mahurangi & Gulf Islands v Hauraki Ø Maintain flexibility as the Ngāti Maru settlement evolves and grows Page 22
