MOVING FORWARD IN UNPRECEDENTED TIMES National Board of Directors
PURPOSE To share the Resolutions proposed by the National Board of Directors which address areas of the National Bylaws that are silent with regard to how to proceed in the event the National Convention is postponed or cancelled and; to propose that the resolutions be ratified by the body and that we conduct an Election of Officers in this convention year.
RESOLUTION – 2020 - 1 VIRTUAL MEETINGS Whereas, our current bylaws are silent regarding how to proceed during non-convention meeting years, this resolution proposes the use of virtual meetings, to conduct the business of the Association as defined by our bylaws. The virtual meeting would also offer controlled conference call participation in the meetings for members who are unable or prefer not to access the online virtual meetings.
Authorized virtual meetings of the Association would include: National Convention sessions, Board of Directors meetings, Executive Board, Mid-Year, Special meetings, Departments and Committee meetings, Training Sessions and Programs. Meetings will be governed by established rules (appropriately modified convention rules) and parliamentary procedures necessary to ensure an orderly virtual process and successful outcome.
RESOLUTION – 2020 - 2 VIRTUAL ELECTIONS Whereas, the business of the Association must continue in order to maintain structure and continuity in accordance with terms and tenures set forth in the bylaws, this resolution proposes the use of electronic voting resources to conduct electronic election of officers in the case of non-conventions years or when special elections are necessary.
WHO IS ELIGIBLE TO VOTE 1. All delegates permitted to vote will be determined in accordance with Article V. – Meetings, Section 5. Composition of the National Convention of the National bylaws. 2. The composition of voting members will be determined and submitted by each State and returned to the National Financial officers at a designated time before an election.
If a State has 700 members with 10 churches, then its delegates representation would be: State President = 1 State Convention Delegate = 1 1 delegate from each (10 member) church = 10 1 delegate for every 10 members of the State Membership of 700 = 70 15 current and past national officers = 15 TOTAL Delegates = 97
3. The composition of voting members will be determined and submitted by each State and returned to the National Financial officers at a designated time for verification before the election. 4. At an appointed time, we would receive a report from the Nominations Committee Chair and then conduct nominations from the (virtual) floor.
Elections: The virtual voting process shall be considered equivalent to a ballot vote. The results of the election will be immediately available and provided in accordance with the established agenda or timeline.
