KAHA WELFARE ASSOCIATION ARTICLES OF ASSOCIATION SECTION ONE NAME: KAHA WELFARE ASSOCIATION SECTION TWO OBJECTIVES Assist members morally / financially in time of need Prolonged illness (Hospitalization), death and any other issue agreed upon by members during AGM. Promote matters affecting the staff/working environment Initiate income generating activities to support the association’s undertakings To organize and initiate activities relating to staff welfare when there is opportunity to do so. Work with NEC /administration/management committee to achieve the above.
SECTION THREE A: VALID MEMBERSHIP. 1. Membership shall be open to registered member of KAHA 2. Once accepted as a member, shall be entitled to equal share and one vote. 3. Shall pay a prescribed membership fee Kshs. 1000/ and monthly contribution of 300/= and any other amount as agreed upon by members.
B: LOSS OF MEMBERSHIP. � � � � Voluntary withdrawal. a) Shall only apply after retirement or death. A member may also withdraw after one year of consistent participation. Any member withdrawing before this period therefore, shall not receive any refund. b) Withdrawal after 1 year, Total contributions shall be calculated and 50% of the contributions shall be refunded * (Awaiting for further AGM directions). 2. Non-voluntary. a) Expulsion: Failure to make regular contributions for three (3). consecutive months shall result to automatic expulsion without option of refund. b) Death: This shall be notified to the association’s officials who shall institute the necessary procedures for the departed member.
SECTION FOUR Shall comprise of a minimum of five members to a maximum of 10 members: 1. CHAIRMAN 2. VICE-CHAIRMAN 3 SECRETARY 4. VICE-SECRETARY 5. TREASURER 6. FIVE COMMITTEE MEMBERS The office bearers shall be voted for 2 years by any method that shall be agreed by members during Annual General. Meeting (A. G. M). The office bearers maybe reelected back. to office for a period of three (3) consecutive terms. A sub-committee from the management/ or general membership may be constituted and be mandated to oversee the affairs of the association as need arises.
SECTION FIVE DUTIES OF THE OFFICE BEARERS: 1. CHAIRMAN/ VICE CHAIRMAN: a) The Chairman shall preside during the committee/members meetings and shall be the Association’s executive. b) Shall guide the association according to the wishes of the members and shall be accountable to the members. c) The Chairman shall at his own discretion take immediate action on behalf of the Association should there be any cause to warrant such action. d) Shall delegate duties to the Vice-chairman during his absence and shall ensure that tasks that need to be done for the welfare effected. e) Shall be signatory to the group funds/vouchers/documents. 2. SECRETARY/VICE-SECRETARY a) Shall record and maintain minutes during members/officials meetings. b) Ensure that correspondence is promptly and correctly attended to. C) Shall prepare and send meeting notices d) Shall Provide information to the members. e). Shall Maintain up to date register of members. f) Shall Maintain an inventory of the association assets and files g) Shall Maintain records of amount disbursed to needy members and for what purpose. h) In the absence of the secretary the, assistant Secretary shall perform the said duties or delegated duties. i) Shall be signatory to the association’s funds/documents/vouchers.
3. TREASURER a) Shall be responsible for maintenance of full and complete records of a. Il assets, liabilities, income and expenses of the association. b) Ensure the safe keeping of the Association’s money, securities, books of account, cheque books, inventory etc c) Ensure that all payments and expenditures are duly authorized. d) Shall tender a financial report twice/once a year during the A. G. M or during special committee meeting when need arises. e) Shall advice the Association on investment policy/opportunities and seek approval of the same. f) Shall be signatory to the Association’s funds/vouchers/documents/cheques. COLLECTIVE RESPONSIBILITIES OF OFFICE BEARERS a) Shall hold regular meetings at least once a quarter or at any other time when need arises. b) Executive committee shall be the governing authority subject to any directions issued by the members during A. G. M. c) Shall observe in all activities the Articles of Association in a strict manner. d) Shall authorize acquisition of property/assets. e) Shall authorize investments/disbursement to needy members f) Shall supervise collection of Association’s dues g) Shall maintain bank account (s) RESPONSIBILITY OF MEMBERS a) Shall exercise democratic control of the Association b) Shall serve honestly and faithfully as office bearers if given the chance c) Each member shall strive to promote the ideals of the Association d) Shall have one vote and equal share e) Shall strive to attend the Association’s meetings and tender apologies if for whatever reason is unable to attend f) Shall dutifully make monthly contributions as required f) When financial obligations call for more funds members shall participate in raising more funds to make ends meet.
SECTION SIX ANNUAL GENERAL MEETING / END OF YEAR PARTY 1. The supreme authority shall be vested in the A. G. M of members. 2. The A. G. M shall be held annually and at least 21 days notice shall be given to members to attend. 3. Quorum of the A. G. M shall be 1/3 total membership. 4. Shall consider statement of accounts from the treasurer. 5. Shall confirm/scrutinize action taken by the committee and give new directions to committee 6. Shall elect/suspend or remove members of the committee. 7. Shall approve estimates of expenditure for the following year. 8. Shall fix/approve honoraria/gratuity for outgoing office bearers/employees.
ELECTIONS During voting the following shall apply The Secretary shall prepare ballot papers and shall act as the returning officer. In the absence of the secretary, the Vice secretary shall take over or any other vetted officer 2. Voting shall be by secret ballot 3. Results of voting shall be binding and acceptable to the members 4. No voting by proxy 5. Installation of new office bearers s shall be done in the presence of the National Executive Chairman and an officer from the Ministry of Cooperatives in charge and handing over shall be supervised by the same. 6. Only duly paid up members shall be entitled to vote.
SECTION SEVEN A: COMMITTEE/GENERAL MEMBERS’ MEETING ATTENDANCE/GENERAL CONDUCT: 1. Attendance of periodic meetings is compulsory and apologies for failure to attend shall be tendered. 2. Failure to attend three consecutive meetings shall resort to the members becoming an agenda. 3. During members’ meetings, respect for others to express themselves (their opinions ) freely shall be observed, 4. Respect to the chair and positive contributions to the Association’s success shall be observed.
B: DISCIPLINE/FINES/PENALTIES: 1. For breach of this Articles of Association or instruction issued by the Association or failure of a member to pay up the dues and or obligations in time, shall attract fines accordingly. 2. Monthly contributions of Khs. 250 shall be paid on or before the 10 th day of every month. Late contribution shall be penalized at the rate of KShs. 20 per month. 3 Fines not paid on the spot shall be deducted from the member’s contributions 4 The Committee has the right to deliberate and introduce other fines/penalties when need arises. 5. Failure to contribute for three consecutive months shall render one to be declared dormant and is liable for exclusion in benefits should they surfer catastrophies and may attract expulsion from membership with no option of refund.
SECTION EIGHT SOCIAL WELFARE A fixed amount of money shall be paid out to the member(s) in case of the following: I. Inpatient prolonged(Hospitalization): Kshs. 20, 000/= only once per year. II. Death: KAHA member Kshs. 100, 000/= to cater for funeral Spouse (declared wife) Kshs. 75, 000/= Biological or legally /Adapted child Kshs. 50, 000/= Biological Parent Kshs. 50, 000/= VI. Retirement / Retrenchment: Membership to remain valid as long as one continue to honour monthly subscriptions. MISCELLANEOUS 1. A Committee member shall receive from the Association payment for travel and sitting allowance from welfare account for actual cost, traveling/subsistence allowance while working for the Associations business, and for honorarium/gratuity passed during the A. G. M as allowed in this Articles of Association
2. Members, committee or employee of the Association shall hold in strict confidence all transactions carried out and information acquired in respect to personal affairs of the members 3. When any committee member is absent or otherwise unable to perform, his/her duties the committee may designate another member of the Association to act or serve the area vacant when necessary. 4. No member shall in any manner participate in deliberations upon or determination of any question affecting his/her own affairs. 5. A copy of these Articles of Association shall be made available to each member on being accepted in the Association.
SECTION NINE AMMENDMENT OF ARTICLES These Articles of Association may be amended in accordance with the rules i. e. during A. G. M, subject to vote and approval of members. Due notice to be given specifying the nature of additions or alterations.
SECTION TEN A: DISSOLUTION The Association may be dissolved in accordance with the procedures set. 1. By members resolution to voluntary wind up by 2/3 majority votes. 2. When initial objectives have been met. 3. In case of becoming bankrupt such that the Association may not meet its financial obligations.
