(Draft Amendment to Regulations no. 4 of 2013). Final Regulations expected by August-18 end.

SPECIAL CONDITIONS OF CONTRACT… 2 • Generation Guarantee ü 1. 6 Million units / MW annually i. e. total of 20. 8 MUS / Annum (Tolerance band of +/- 5%) for the period of 5 years ü Variation in guaranteed units below tolerance shall be charged at Rs. 8 / unit or discom landed cost to the Contractor. The measurement of the generation shall be done on annual basis. • Scope of Work- Contractor Pre-Commencement of the project: ü 1. Captive Open Access approvals from all relevant authorities ü 2. All Evacuation approvals from relevant authorities ü 3. Land Clearances/approvals ü 4. PCB Clearances/approvals ü 5. SPECIAL CONDITIONS OF CONTRACT… 3 • Defect Liability Period & Warranties ü 5 years of DLP ü 25 years of Warranty period for solar modules & 5 years for Inverters • Contract Performance Guarantee, Retention Money & Warranty Bond ü Contract Performance Guarantee of 10% of Contract Price shall be submitted by Contractor for Contract Period (8 months) +1 month. ü Warranty Bond for entire 5 years +1 month of O&M Period shall be submitted before expiry of Contract Performance Guarantee. ü Retention shall be of 10% of the Contract Price for guaranteed generation. SPECIAL CONDITIONS OF CONTRACT… 4 Terms of Payment for the Project 1) 1% of the Contract Price after the land is registered in the name of the Owner. 2) 5% of the Contract Price shall be paid against Proforma/Advance Invoice as advance against Advance Bank Guarantee in prescribed format having validity till completion of the project. These advances will be recovered by the Owner from each subsequent Tax Invoice raised by the Contractor. The 2 nd milestone payment shall be disbursed after 1 st milestone is completed 3) 4% of the Contract Price shall be paid against submission of approved final Design Documents / Drawings to the Owner for entire Scheme as well as Captive Open Access Approvals from all relevant authorities. 4) 50% of the Contract Price shall be paid on pro-rata basis against the receipt of materials at site & payment will be given as advance against Proforma/Advance Invoice. 5) 45% of the Contract Price shall be paid on the installation, testing, commissioning & taking over of the entire Electrical works and acceptance of SPV Plant by the Owner.

QUALIFICATION REQUIREMENT OF BIDDER • Technical ü The Contractor should have designed, supplied, erected/ supervised erection and commissioned/ supervised commissioning of ground mounted Solar Photo Voltaic (SPV) based grid connected power plant(s) of cumulative installed capacity of atleast 20 MWp or above, out of which at least one plant should have been of 5 MWp capacity or above. The above plant mentioned of 5 MWp or above capacity must have been in successful operation for at least six (6) months prior to the bid date. ü The SPV based grid connected power plant of 5 MWp or above capacity should be at a single location developed by Contractor for itself or any other client. • Financial ü The Average Minimum Annual Turnover (MAT) of the Bidder during last three financial years shall not be less than Rs 25 Crore
