Brasile/Italia, interscambio commerciale Ø Nel 2012 l’interscambio commerciale Italia-Brasile ha raggiunto €. 7, 7 mln. Ø Le importazioni del Brasile dall’Italia nel 2012 raggiungono €. 3, 2 mln. L’Italia si conferma al 9 posto fornitori mondiali. Ø Le importazioni dal Brasile di beni dall’Italia sono essenzialmente composte da prodotti manufatti (pezzi di ricambio, valvole, macchinari, veicoli, prodotti farmaceutici e vaccini). Viceversa le esportazioni verso l’Italia sono costituite per oltre quarti da materie prime o semilavorati (caffè, soia, minerali di ferro, cellulosa). Ø Le esportazioni dell'Italia rispetto al 2011 sono aumentate più delle importazioni pari a €. 4, 5 mln +3, 6% periodo Gen - Nov 2012 su 2011. Si è dunque ulteriormente rafforzata la tendenza alla crescita del peso delle commodities sul totale delle esportazioni brasiliane, che costituisce fonte di preoccupazione per le Autorità in quanto indice di una certa debolezza dell'industria nazionale e di dipendenza dell'economia del Paese dalle dinamiche dei prezzi e della domanda internazionale per beni primari. 3 Fonte MISE

Brasile/Italia, investimenti diretti § Gli Investimenti Diretti Esteri dell'Italia con il Brasile* nel 2011 ammontano a €. 337 mln con uno stock 1992 -2011 pari a €. 5, 427 mln. I settori più beneficiati sono quelli delle telecomunicazioni dell'estrazione del petrolio e dei minerali e la metallurgia. § Tra i paesi investitori spiccano Olanda (9, 7 miliardi), Spagna (5, 2 miliardi), Stati Uniti (5 miliardi) Giappone (2, 4 miliardi). La Cina appare nella classifica dei paesi investitori solo al 22°posto con poco più di 100 milioni di dollari. Vi è tuttavia evidenza che molti investimenti diretti esteri cinesi non appaiano nelle statistiche ufficiali poiché transitano attraverso operatori finanziari di altre piazze. § La scelta della localizzazione industriale delle aziende italiane ha seguito criteri legati a fattori logistici o alla presenza di mercati regionali e a politiche d’incentivo all’investimento infrastrutturale. § 765 sono le società italiane e filiali locali attive nei settori alimentare, tessile, nautico e dei materiali da rivestimento Filiere di sviluppo industriale settoriale § , Macchinari e componenti industriali Automobilistico Ambiente Energie rinnovabili Marmi e graniti 4 *Fonte MISE Macchinari specializzati Macchine utensili telecomunicazioni Tessile e calzaturiero petrolchimico

Investire in Brasile “Alcuni sostengono che è difficile fare business in Brasile, ma non lo sarà se… 1 5 . . . si chiede competente consulenza legale per pianificare il business e stabilire una partnership in Brasile o anche solo per intraprendere scambi commerciali controparti brasiliane”. § Costituzione di società: non è difficile creare filiali, sussidiarie o newcos in società con investitori locali ma alcune specifiche attività richiedono speciali licenze e autorizzazioni. Diverse sono le tematiche su tali investimenti: scelta e procedimento di costituzione della forma sociale, registrazione del capitale straniero, rimessa e rinvestimento degli utili, rimpatrio del capitale, proprietà intellettuale e industriale etc. § Contesto normativo in continua evoluzione: la legislazione brasiliana in materia non oppone particolari difficoltà alle importazioni di prodotti italiani. Tuttavia, oltre alle lungaggini burocratiche incidono notevolmente su tempi e costi di gestione, permangono barriere tariffarie d'importazione elevate, barriere doganali restrittive di vario genere (controlli sanitari, listing prodotti, etichettature su beni di consumo, vini, cosmetica, restizioni nel settore delle riassicurazioni etc) § Complessità fiscale: ci sono diverse imposte dirette e indirette riscosse dai Governi federali, statali e municipali e il regolamento e la normativa fiscale, variabili da Stato, sono articolati e complicati da attuare. Esistono numerosi incentivi fiscali, da quelli legati alla localizzazione geografica a quelli di carattere industriale e sull’innovazione tecnologica. § Il diritto del lavoro, la politica di accesso al mercato, il rilascio visti per investitori stranieri e le tasse sui salari sono complessi e possono dar origine a contenziosi e a sanzioni, se non trattati adeguatamente.

Investire in Brasile “Alcuni sostengono che è difficile fare business in Brasile, ma non lo sarà se… 2 6 . . . si comprende il sistema di regolamento degli scambi esteri e come questo influisce sulle transazioni finanziarie”. § Conti in valuta estera: per legge, qualsiasi transazione finanziaria all'interno del paese deve essere effettuata in valuta locale (Real o BRL). Pertanto, le banche in Brasile non sono autorizzate ad aprire conti in valuta estera. § Trasferimento internazionale di fondi: la controparte in Brasile deve finalizzare un contratto FX e la Banca Centrale richiede che tali contratti FX debbano essere stipulati con istituzioni finanziarie locali autorizzate. Chiunque intenda fare un contratto FX con una istituzione finianziaria locale autorizzata deve avere un conto bancario in Brasile. § Conti ai non residenti: la Banca centrale consente ai non residenti di avere conti bancari in Brasile (in BRL), tuttavia le banche non hanno aperto nuovi conti per i non residenti a causa di un più stretto controllo della Banca centrale su tali conti. § Partnership locali: ai fini di effettuare qualsiasi operazione di finanziamento all'interno del paese, un residente non ha altra alternativa se non aprire una filiale o una partnership con società locali / privati. § KYC : le filiali di nuova costituzione di società straniere in genere hanno difficoltà ad adeguarsi alla procedura Know Your Customer (KYC), obbligatoria per l'apertura di conti bancari.

Il sistema bancario locale Come funziona "La Banca" § Relativa importanza dei Bilanci Aziendali § Ruolo dello storico aziendale § Osservanza politica KYC e restrizioni normativa valutaria § Credito su base ‘’scoring’’ § Scarsa importanza delle garanzie accessorie (personali/reali). § Importanza della reciprocità: cross selling Il sistema Bancario Brasiliano è il più grande nell'America Latina con assets USD. 2, 840 mld * § le prime 10 Banche Brasiliane (su un totale di circa 250 fondamentalmente) controllano quasi l’ 80% dell'attività totale: le pubbliche Banco do Brasil, BNDES e Caixa piu’ le private nazionali Bradesco e Itau-Unibanco praticamente quasi il 70%: chiudono il cerchio le straniere Santander e HSBC con insieme poco piu’ del 10% § le Banche Brasiliane devono mantenere il Tier 1 capital rispettivamente ad almeno 5, 5% e 11% del risk weighted assets (RWA), quindi limiti ben piu’ ristretti di quelli di Basilea (soprattutto x le banche Europee) § il portafoglio impieghi delle Banche Brasiliane è diversificato.
