BORRADOR 1. ¿Qué son los instrumentos financieros? Según el PGC: • Un instrumento financiero es un contrato que da origen a un activo financiero (AF) en una empresa y un pasivo financiero (PF) o instrumento de patrimonio (IP) en otra. Activos financieros Pasivos financieros • • • Proveedores y acreedores varios • Deudas con entidades de crédito • Obligaciones y valores negociables emitidos: bonos, pagarés • Deudas con características especiales • Deudas con terceros es decir de personas o empresas que no sean entidades de crédito Efectivos Créditos a clientes y deudores Créditos a terceros: préstamos y créditos financieros Obligaciones, bonos, pagarés Acciones, participaciones en instituciones de inversión colectiva • Depósitos Instrumentos de patrimonio • También se llaman Instrumentos de capital • Son todos los que se incluyen dentro de los fondos propios • Se trata de un negocio jurídico que evidencia o refleja una participación residual en los activos de la entidad que lo emite una vez deducidos todos sus pasivos. • Ejemplo IP: Acciones ordinarias emitidas Reconocimiento • Una empresa se reconoce en el balance un instrumento financiero en el momento en el que sea un punto obligatorio del contrato. © 2018 Grant Thornton S. Un pasivo financiero (PF) es toda obligación, deuda o compromiso de pago en un plazo exigible determinado, que puede ser en el corto, medio y largo plazo. BORRADOR 3. 1 Tipos de Pasivos Financieros Pasivos financieros- débitos y partidas a pagar ¿Qué son los débitos y partidas a pagar? Débitos por operaciones comerciales. Se originan por compra de bienes y servicios. Por otro lado también existen los débitos por operaciones no comerciales. Valoración inicial Se valoraran por su valor razonable (precio de la transacción), ajustado por los costes de transacción que les sean directamente atribuibles Sin embargo los débitos a corto plazo y que no tengan un tipo de interés contractual, los desembolsos exigidos por terceros sobre participaciones cuyo importe se espera pagar a corto plazo se podrán valorar por su valor nominal. Tipos de Pasivos Financieros Valor razonable (PGC) Es el importe por el que puede ser intercambiado un activo o liquidado un pasivo, entre partes interesadas y debidamente informadas, que realicen una transacción en condiciones de independencia mutua. El valor razonable se determinará sin deducir los costes de transacción en los que pudiera incurrirse en su enajenación. No tendrá en ningún caso el carácter de valor razonable el que sea resultado de una transacción forzada, urgente o como consecuencia de una situación de liquidación involuntaria. Coste amortizado (PGC) El coste amortizado de un instrumento financiero es el importe al que inicialmente fue valorado un activo financiero o un pasivo financiero, menos los reembolsos de principal que se hubieran producido, más o menos, según proceda, la parte imputada en la cuenta de pérdidas y ganancias, mediante la utilización del método del tipo de interés efectivo, de la diferencia entre el importe inicial y el valor de reembolso en el vencimiento y, para el caso de los activos financieros, menos cualquier reducción de valor por deterioro que hubiera sido reconocida, ya sea directamente como una disminución del importe del activo o mediante una cuenta correctora de su valor. © 2018 Grant Thornton S. BORRADOR Pasivos financieros- PF mantenidos para negociar ¿Cuándo será un pasivo financiero mantenido para negociar? Serán pasivos financieros mantenidos para negociar cuando: • Se emita con el propósito de readquirirlo en corto plazo. Por ejemplo: obligaciones y valores negociables emitidos cotizados que la empresa pueda comprar en corto plazo en función de la variación de su valor • Forme parte de una cartera de instrumentos financieros que estén identificados y gestionados conjuntamente y que existan evidencias de actuaciones para obtener ganancias a corto plazo. • Que sea un instrumento financiero derivado, siempre que no sea un contrato de garantía financiera Valoración inicial Se aplicaran los mismos criterios que en activos financieros mantenidos para negociar. Valor posterior Se aplicaran los mismos criterios que en activos financieros mantenidos para negociar. Pasivos financieros- Otros PF a valor razonable con cambio en PYG En este apartado se incluyen los pasivos financieros híbridos (son aquellos que combinan un contrato principal no derivado y un derivado financiero que no puede ser transferido independientemente y cuyo efecto es que algunos flujos de efectivo del instrumento hibrido varíen de forma similar a los del derivado considerado de forma independiente. ) Además, se pueden incluir pasivos financieros que designe la empresa en el momento del reconocimiento inicial. Sólo se podrá realizar esta acción si está indicada en una información que sea más relevante. BORRADOR 3. 2. Coste amortizado ¿Qué es el coste amortizado? Según el PGC Es el importe en el que inicialmente fue valorado un activo financiero o un pasivo financiero, menos los reembolsos de principal que se hubieran producido, más o menos, según proceda, la parte imputada en la cuenta de pérdidas y ganancias, mediante la utilización del método del tipo de interés efectivo, de la diferencia entre el importe inicial y el valor de reembolso en el vencimiento y, para el caso de los activos financieros, menos cualquier reducción de valor por deterioro que hubiera sido reconocida, ya sea directamente como una disminución del importe del activo o mediante una cuenta correctora de su valor. El tipo de interés efectivo es el tipo de actualización que iguala el valor en libros de un instrumento financiero con los flujos de efectivo estimados a lo largo de la vida esperada del instrumento, a partir de sus condiciones contractuales y sin considerar las pérdidas por riesgo de crédito futuras; en su cálculo se incluirán las comisiones financieras que se carguen por adelantado en la concesión de financiación. ” Como hemos visto anteriormente se aplica a lo siguiente: Créditos por operaciones comerciales ACTIVOS FINANCIEROS Créditos por operaciones no comerciales Inversiones mantenidas hasta el vencimiento COSTE AMORTIZADO Débitos y partidas a pagar PASIVOS FINANCIEROS Débitos por operaciones comerciales Débitos por operaciones no comerciales © 2018 Grant Thornton S. BORRADOR 3. 4. ¿Cómo se valoran los préstamos? Norma de valoración 3. 1. 1. Valoración inicial (PGC) Los pasivos financieros incluidos en esta categoría se valorarán inicialmente por su valor razonable, que, salvo evidencia en contrario, será el precio de la transacción, que equivaldrá al valor razonable de la contraprestación recibida ajustado por los costes de transacción que les sean directamente atribuibles. No obstante lo señalado en el párrafo anterior, los débitos por operaciones comerciales con vencimiento no superior a un año y que no tengan un tipo de interés contractual, así como los desembolsos exigidos por terceros sobre participaciones, cuyo importe se espera pagar en el corto plazo, se podrán valorar por su valor nominal, cuando el efecto de no actualizar los flujos de efectivo no sea significativo. El préstamo se valorará inicialmente por su valor razonable que equivaldrá al valor razonable de la contraprestación recibida ajustado por los costes de transacción que les sean directamente atribuibles. En consecuencia el pasivo se valorará en (18. 000180)= 17. 820€. Por lo tanto, hay que calcular el tipo de interés efectivo de la operación y confeccionar para registrar la operación el cuadro contable, que será el que se utilizará para el registro contable del préstamo. Prueba de auditoría de un préstamo • El riesgo en auditoría es que la empresa que estemos auditando no esté contabilizando el préstamo a coste amortizado. • Por lo tanto haremos una prueba dirigida a validar el correcto registro de un préstamo a coste amortizado. • Solicitaremos a la compañía auditada la documentación soporte de la financiación. Entre la documentación solicitada se incluye la siguiente: Ø Contrato de financiación Ø Facturas de todos los gastos asociados para la obtención de la misma Ø Justificantes de pago de intereses para calcular el coste amortizado de la deuda y comprobar que se encuentra correctamente registrada • Contratos de préstamos (con entidades financieras o con partes vinculadas) • Arrendamientos financieros (leasing) © 2018 Grant Thornton S. BORRADOR 3. 7 Otros aspectos de interés En enero de 2019 entró en vigor la IFRS 16 en relación a la identificación de los contratos de arrendamiento y su tratamiento contable en los estados financieros de arrendatarios y arrendadores. El objetivo de dicha norma es representar más fielmente las operaciones de arrendamiento y proporcionar una información más adecuada para poder evaluar la cantidad, tiempo e incertidumbre en los flujos de caja de los arrendamientos. Para ello se debe reconocer el activo y el pasivo que surge del arrendamiento. La IFRS 16 se aplica para todos los arrendamientos de duración superior a 12 meses, salvo que el activo sea de reducido importe. © 2018 Grant Thornton S. L. P. BORRADOR 3. 7 Otros aspectos de interés (II) Impacto de la COVID-19 Como consecuencia de la COVID-19 se han acordado una serie de incentivos en relación con los arrendamientos. En este sentido, el IASB publicó en mayo de 2020 una modificación de la NIIF 16 para abordar el tratamiento a dar por los arrendatarios a las reducciones del alquiler relacionadas con la Covid-19. En este sentido las reducciones pueden deberse a una modificación en el contrato o no. Una modificación del contrato se puede considerar cambiar los pagos fijos por variables; mientras que no se considera modificación del mismo el diferimiento de los pagos, por ejemplo. Como simplificación práctica el IASB determinó quw un arrendatario puede elegir no evaluar si las concesiones que obtiene derivadas del COVID-19 son una modificación de arrendamiento. Un arrendatario que realiza dicha elección debe contabilizar cualquier cambio en los pagos derivados de las concesiones del COVID-19 de forma consistente con cualquier cambio que no es una modificación. El arrendatario debe aplicar la simplificación práctica de forma consistente a contratos con características y en circunstancias similares. La simplificación práctica aplica solo a las concesiones que se produzcan como una consecuencia directa del COVID-19 y solo si cumplen las siguientes condiciones: • El cambio en los pagos por arrendamiento resulta en una contraprestación revisada del arrendamiento que es sustancialmente equivalente, o menor, que la contraprestación del arrendamiento con anterioridad al cambio. Un cambio que implica un aumento más que insustancial de los pagos totales del arrendamiento podría no derivarse exclusivamente de una concesión relacionada con el COVID-19, excepto en la medida en que el aumento refleje el valor temporal del dinero. • Cualquier reducción en los pagos por arrendamiento afecta solo a los pagos que vencían originalmente en o con anterioridad al 30 de junio de 2021. • No existe un cambio sustancial a otras cláusulas y condiciones del arrendamiento. © 2018 Grant Thornton S.
