§ Waveseer LLC was founded in 2014. The company holds 6 cannabis licenses in 3 states: Nevada Oregon and Maryland. § Las Vegas is where most of the company's current economic activity is generated. In 2018 Waveseer generated $15. 8 MM of revenues from its operations and has more than 150 employees. § Since 2014, Waveseer has accumulated significant experience in all aspects of the legal marijuana business both with Medical Cannabis and Adult Use Cannabis. In Las Vegas, Waveseer owns 2 dispensaries, a large cultivation center and an infused products manufacturing license. As well as dispensaries in Bend, OR and Lanham MD. 4

§ In 2017, Waveseer employees were unionized by the United Food and Commercial Workers. Waveseer proudly offers its employees: free college, health insurance, high hourly wage, paid vacation and pensions. § Waveseer is environmentally focused. WS grows with LED lights using a lot less electricity. And by using “deep water” methodology to cultivate, Waveseer consumes significantly less water then the average commercial grow. 5

Mission § Provide high quality cannabis, in full compliance with all state laws, to customers in need. § Create new permanent jobs with benefits. § Implement environmental safe guards on electricity use, packaging and water consumption. § Use the best practices in employee management and high-tech manufacturing. § Operate state-of-the-art facilities with high levels of security. 6

Our Interest in Clinton… § Town’s pro-business mindset and willingness to partner with job creators. § Proximity to Boston and Worcester, with great highway access to the rest of the State. § Waveseer’s innovative production methods in a new industry fits well with Clinton’s roots as an industrial revolution hub. § Perfect location at 75 Green Street. 7

Security and Prevention of Diversion § The facility will be securely maintained, with a detailed security plan established in consultation with Clinton Police, Clinton’s Planning Board and Board of Selectmen, and Waveseer employees specializing in security issues. § § Extensive use of security cameras at the facility Access to the facility will be restricted using an ID and badge system Waveseer’s portion of the building will be securely set apart from other areas of the facility and entry and exit into the facility will be closely monitored by Waveseer personnel in order to ensure there is no unlawful access . Prevention of diversion to minors § As part of this security plan, we will be vigilant in preventing diversion of product to anyone under 21 by preventing any minors from accessing the facility. 15
